Terms & Conditions
1. Scope
(1) These General Terms and Conditions (“GTC”) apply to all contracts between JEWO Trading Ltd., Larnaca, Republic of Cyprus (“JEWO”), and its customers for the sale of mining hardware and for hosting services.
(2) JEWO’s offering is directed exclusively at businesses (B2B). Sales to consumers do not take place.
(3) Conflicting or deviating terms of the customer shall not become part of the contract unless JEWO expressly agrees to them in writing.
2. Subject Matter
(1) Hardware: JEWO sells new and refurbished ASIC mining hardware (in particular Bitmain Antminer) including accessories.
(2) Hosting: JEWO offers the accommodation, connection and operation of customer-owned mining hardware at data centre or off-grid sites used by JEWO (“Hosting”). Scope, term, electricity price and remuneration are set out in the individual contract.
3. Offers and Conclusion of Contract
(1) The presentation of products in the online shop does not constitute a binding offer; prices are quoted individually on request only (“price on request”).
(2) A contract is concluded upon JEWO’s written order confirmation or upon signature of an individual agreement by both parties.
4. Prices and Payment
(1) All prices are net prices plus applicable VAT. For intra-Community supplies to businesses with a valid VAT ID, the reverse charge mechanism applies.
(2) Unless otherwise agreed, payment is due prior to delivery (advance payment). JEWO accepts bank transfer (SEPA), card payments and cryptocurrency payments via the offered payment providers.
5. Delivery and Passing of Risk
(1) Delivery takes place EU-wide ex warehouse. Delivery dates are only binding if expressly confirmed in writing.
(2) Risk passes to the customer upon handover of the goods to the carrier, unless a different Incoterm has been agreed.
6. Retention of Title
Delivered goods remain the property of JEWO until paid in full.
7. Warranty and Guarantee
(1) Statutory warranty rights in commercial transactions apply. The customer shall inspect the goods without undue delay and notify obvious defects in writing without undue delay, at the latest within 7 days.
(2) Manufacturer guarantees (e.g. Bitmain) exist independently and are governed by the respective manufacturer’s terms.
8. Liability
(1) JEWO is liable without limitation for intent and gross negligence as well as for injury to life, body and health.
(2) In cases of slight negligence, JEWO is liable only for the breach of material contractual obligations, limited to the foreseeable damage typical for the contract. Liability for lost profits, in particular lost mining revenues, is excluded.
(3) JEWO gives no warranty as to the profitability of mining, price or difficulty developments, or uninterrupted availability of power and network infrastructure in hosting, unless otherwise agreed in the individual contract.
9. Special Terms for Hosting
(1) Maintenance windows, planned shutdowns (e.g. curtailment at off-grid sites) and official orders do not count as downtime.
(2) The customer remains the owner of the deployed hardware. JEWO has a right of retention over the hardware until due claims under the hosting relationship have been settled.
10. No Right of Withdrawal
As the offering is directed exclusively at businesses, no statutory consumer right of withdrawal applies.
11. Data Protection

12. Governing Law and Jurisdiction
(1) The law of the Republic of Cyprus applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict-of-law rules.
(2) The exclusive place of jurisdiction for all disputes arising out of or in connection with this contract is Larnaca, Cyprus.
13. Final Provisions
Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.
